1. License Grant

Retail Tools India ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to use the Smart Price Calculator application ("Software") solely for internal retail business purposes as an authorized employee or partner of Retail Tools India.

2. Restrictions

You may NOT:

• Copy, modify, or distribute the Software or any portion thereof
• Reverse engineer, decompile, or disassemble the Software
• Sublicense, sell, rent, lease, or transfer the Software or your access rights
• Use the Software for any purpose other than authorized retail operations
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to develop a competing product or service
• Share pricing data, schemes, or offer information outside of authorized business transactions

3. Ownership

The Software is licensed, not sold. Retail Tools India retains all ownership rights, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks of Retail Tools India or Samsung.

4. Business Data

All pricing data, Samsung schemes, offers, and business information accessed through this Software are confidential and proprietary to Retail Tools India. You acknowledge that:

• This information is shared with you solely for the purpose of serving customers
• You will not disclose this information to competitors or unauthorized parties
• Unauthorized disclosure may result in immediate termination and legal action
• All quote history and activity generated by you remains the property of Retail Tools India

5. Account Security

You are solely responsible for maintaining the security of your login credentials. You must notify your administrator immediately if you suspect unauthorized use of your account. Retail Tools India shall not be liable for any loss resulting from unauthorized use of your account.

6. Updates & Modifications

Retail Tools India reserves the right to update, modify, or discontinue the Software at any time without notice. We may also update the features, pricing data, or functionality as required for business operations.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. PRILIN'S E-WORLD DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ALL PRICING INFORMATION IS ACCURATE AT ALL TIMES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRILIN'S E-WORLD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and your account will be deactivated.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of India. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of courts in Bhubaneswar, Odisha.
